Deadline for Payment of Franchise Taxes Extended to July 2

The Division of Corporations and Trademarks reminds corporate citizens that the deadline for franchise taxes and filing requirements has been extended to July 2. All corporations registered with the Office of the Lieutenant Governor, both domestic and foreign, are required to satisfy annual franchise tax and filing requirements on or before June 30 of every year. Because the filing deadline falls on a Saturday this year, it has been extended to July 2. On that day, in order to accommodate corporate filers, offices in both districts will be open from 8 a.m. through 5 p.m. Normal hours of operation will resume on July 5, according to a press release issued Friday by the Office of the Lieutenant Governor.
Statutory filing requirements and annual fees also apply to LLC, LLP, and LLLP organizations. Non-profit corporations are required to file annual reports and financial statements. Franchise and annual reports for each entity type are available on the lieutenant governor’s Web site at www.ltg.gov.vi.
Failure to comply with the annual requirements will result in the assessment of penalties and interest, non-issuance of a Certificate of Good Standing or even administrative/involuntary dissolution.
